These Terms of Service ("Terms") govern your access to and use of the websites and services at novasounds.se and novasounds.app (together, the "Services"), operated by Nova Sounds AB ("Nova Sounds", "we", "us", or "our").

Nova Sounds is a record label providing release and distribution services for music producers and artists. By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be at least 18 years old (or have the consent of a parent or legal guardian) to use the Services. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date.

2. The Services

Nova Sounds provides services that enable you ("Artist", "you") to release and distribute your music ("Content") to digital service providers, streaming platforms, and stores (collectively, "DSPs"), and to collect and account for revenue generated by that distribution. The specific DSPs and territories available may change over time.

We may add, modify, or discontinue features of the Services at any time. We do not guarantee acceptance of any release by a DSP, as DSPs apply their own policies and review processes.

3. Your Content and the rights you grant

You retain ownership of your Content. Nothing in these Terms transfers ownership of your master recordings or musical works to Nova Sounds.

To allow us to distribute your Content, you grant Nova Sounds a license, for the term during which your Content is delivered through the Services, to reproduce, distribute, make available, market, and otherwise exploit your Content on DSPs and to collect the associated revenue on your behalf. The scope of this license, including any exclusivity, is set out in the individual agreement between you and Nova Sounds.

You represent and warrant that:

• You own or control all rights in the Content, including all master recording and underlying composition rights;

• You have cleared and licensed any samples, interpolations, features, or third-party material contained in the Content;

• Your Content does not infringe the intellectual property, privacy, or other rights of any third party;

• All metadata, artwork, and information you provide is accurate and does not contain unlawful, defamatory, or misleading material;

• You have obtained all necessary consents from any contributors, featured artists, and rights holders.

4. Prohibited content and conduct

You may not use the Services to upload or distribute content that:

• Infringes any copyright, trademark, or other intellectual property right;

• Is unlawful, fraudulent, hateful, harassing, or otherwise objectionable;

• Contains artificially generated or fraudulent streaming activity, or is intended to manipulate DSP royalties;

• Misrepresents authorship, ownership, or any other material fact.

We may reject, remove, or take down any Content that we reasonably believe violates these Terms, DSP requirements, or applicable law, and we may suspend or terminate accounts engaged in fraud or repeated infringement.

5. Royalties and payments

Nova Sounds collects revenue generated by your Content from DSPs and accounts to you in accordance with the terms of the individual agreement between you and Nova Sounds.

• Reporting and payment: Payments are subject to receipt of corresponding funds from DSPs, which typically report on a delay. Reporting cadence, payout timing, and any minimum payout threshold are governed by the individual agreement between you and Nova Sounds.

• Payment details: You are responsible for providing accurate payout information. You are responsible for any taxes due on amounts you receive.

We may withhold or recover amounts where Content is removed for infringement, where a chargeback or fraudulent activity occurs, or where a DSP reverses payment.

6. Term and termination

These Terms apply for as long as you use the Services. You may request removal of your Content and closure of your account at any time, subject to any minimum term that applies to specific releases under the individual agreement between you and Nova Sounds.

Following termination, we will request takedown of your Content from DSPs; removal timing is controlled by the DSPs and is not instantaneous. Provisions that by their nature should survive termination (including ownership, warranties, indemnities, and accrued payment obligations) will continue to apply.

7. Our intellectual property

The Services, including their software, design, trademarks, and content (excluding your Content), are owned by Nova Sounds or our licensors and are protected by intellectual property laws. We grant you a limited, non-transferable, revocable license to use the Services for their intended purpose. You may not copy, modify, reverse engineer, or create derivative works from the Services.

8. Disclaimers

The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and uninterrupted or error-free operation. We do not guarantee any particular level of streams, revenue, placement, or commercial success.

9. Limitation of liability

To the fullest extent permitted by applicable law, Nova Sounds shall not be liable for any indirect, incidental, or consequential damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the Services shall not exceed the total amounts paid out to you by Nova Sounds in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under mandatory Swedish law.

10. Indemnification

You agree to indemnify and hold harmless Nova Sounds from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Content, your breach of these Terms, or your violation of any third-party right or applicable law.

11. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

12. Governing law and disputes

These Terms are governed by the laws of Sweden, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Swedish courts, with the Stockholm District Court (Stockholms tingsrätt) as the court of first instance, unless mandatory law provides otherwise.
